TRFAHA Annual Meeting

    There have been some questions regarding the TRFAHA proposed Bylaw changes to be acted on Monday night.

    I hope the following helps in an explanation regarding these proposed TRFAHA Bylaw changes.

    Over the past 40 plus years TRFAHA has had a set of Bylaws in place that has become very outdated and non-compliant with our non-profit 501C3 corporate status.

    Several months ago a decision was made by the Board to have our current bylaws reviewed and updated by an attorney. He reported to TRFAHA the current bylaws were very confusing and contradictory in many areas and suggested a total revamp of them to create a more simplified and most important a compliant set of bylaws.

    Once these were received and reviewed by the Board, we placed them on our website for TRFAHA members to see.

    Because we are currently bound by our existing bylaws, one of the articles within them is to post any revisions to By Laws in the Old Arena and The Huck for a period of 60 days. The Board did not receive the draft back from the attorney in time to comply with this article. The decision was made to post the revisions on our website as this would give all members the ability to see the revisions.

    As a Board we fully understand the 60 day notice was not met but still feel the revision is important enough to act upon on Mondays Annual Meeting.

    A few of the primary areas that needed to be updated are the membership criteria, voting privileges and election process.

    Monday night’s ballot and election process will hinge on the approval of the revised bylaws. If anyone objects to the bylaw revision based on the 60 notice that was not met. The revision will be tabled until next year’s annual meeting and we will be bound for another year with non-compliant By Laws.

    If there is an objection, the Board election will be held in the same manner as it has in the past where the Board officers and members at large will be voted on separately.

    If the new Bylaws are past, the election with be held for five Directors positions and the Board will determine the officers prior to July first which is when our year begins. This is the way about 95% plus of 501C3 corporations are structured.

    In either case, I will be asking for nominations from the floor for open Board positions the night of the election as we will be bound by our current bylaws in this area.

    I will also give an oral explanation of this at the beginning of the meeting on Monday night.
